1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Elemental Genius LLC ("Company," "we," "us," or "our") governing your access to and use of the Virylium application, including all features, AI services, integrations, and content (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years of age to use Virylium. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. Use of the Service is void where prohibited by law.

3. Account Registration & Security

  • You must create an account to use Virylium. Accounts are created via Google Sign-In.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately of any unauthorized access to your account at [email protected].
  • You may not create accounts on behalf of others without their express consent.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription & Billing

4.1 Subscription Model

Virylium is a premium subscription service at $29.99 per month (USD). There is no free tier, free trial, or freemium version. Access to all features requires an active paid subscription. Pricing may change with 30 days' advance notice.

4.2 Billing

All billing is processed through Google Play. Your subscription will be charged to your Google Play payment method at the start of each billing period. By subscribing, you authorize Google Play to charge your payment method on a recurring monthly basis.

4.3 Cancellation

You may cancel your subscription at any time through Google Play > Subscriptions. Cancellation takes effect at the end of your current billing period. You will retain access to the Service through the end of the paid period. We do not offer prorated refunds for partial billing periods.

4.4 Refunds

All purchases are subject to Google Play's refund policy. We do not independently issue refunds except as required by applicable law. For refund requests, contact Google Play support directly. In cases of significant technical failure on our part preventing Service use, contact us at [email protected] and we will work with you in good faith.

4.5 Free Trials

We do not currently offer free trials. If a free trial is introduced in the future, specific terms governing the trial will be disclosed at the time of signup.

4.6 Lapsed Subscription

If your subscription lapses, your access to the Service will be suspended at the end of your billing period. Your account data and Lyra Soul File (stored in your Google Drive) will be preserved for 90 days, after which we may delete your account data from our servers. Your Lyra Soul File on Google Drive remains yours and is unaffected.

5. Third-Party Platform Integrations & OAuth

5.1 Authorization

Virylium connects to third-party platforms (LinkedIn, X/Twitter, Instagram, TikTok, YouTube, and others) via OAuth. When you authorize these connections, you grant Virylium permission to access, read, and publish content on those platforms on your behalf, subject to each platform's own terms and policies.

5.2 Platform Terms

Your use of third-party platforms through Virylium remains subject to those platforms' own Terms of Service, privacy policies, and community guidelines. We are not responsible for changes to third-party platform APIs, policies, or availability that may affect Virylium features.

5.3 Revocation

You may revoke any OAuth connection at any time through Settings > Connections within the App, or directly through the third-party platform's security settings. Revocation will disable related features but will not affect your subscription.

5.4 Content Published via Virylium

You are solely responsible for any content published to third-party platforms through Virylium, including content suggested or generated by Lyra Solus. We are not responsible for how third-party platforms moderate, distribute, or respond to content published through our integrations.

6. Google Drive Integration

Virylium uses the Google Drive API to store your Lyra Soul File in your personal Google Drive. By using this feature, you grant Virylium access to create and maintain the 'Virylium' folder and its contents in your Drive. You may revoke this access at any time through your Google Account settings. Our use of Google Drive is limited to the purposes described in our Privacy Policy and complies with Google's API Services User Data Policy.

7. Lyra Solus — AI Companion Terms

7.1 AI-Generated Content

Lyra Solus is an AI system. All content, recommendations, brand strategies, and communications generated by Lyra are AI-generated. You acknowledge that:

  • AI-generated content may be inaccurate, incomplete, or inappropriate for your specific needs
  • You should review all AI-generated content before using it professionally
  • Virylium and Elemental Genius LLC are not responsible for outcomes resulting from your use of AI-generated content
  • Lyra's personality, responses, and capabilities may evolve as we update the underlying AI systems

7.2 Acceptable Use of Lyra

You agree not to use Lyra Solus to:

  • Generate content that violates any third-party platform's terms of service
  • Create misleading, defamatory, harassing, or illegal content
  • Impersonate real individuals or entities without authorization
  • Attempt to reverse-engineer, extract, or reproduce Lyra's underlying model or soul file system
  • Circumvent subscription or access controls

7.3 No Professional Advice

Nothing generated by Lyra Solus constitutes legal, financial, medical, or professional advice. Lyra is a creative AI companion, not a licensed professional.

8. User Content & Intellectual Property

8.1 Your Content

You retain ownership of all content you create, upload, or generate through Virylium. By using the Service, you grant us a limited, non-exclusive, royalty-free license to use your content solely to provide the Service to you.

8.2 Our Intellectual Property

Virylium, Lyra Solus, the Virylium logo and visual identity, the soul file architecture, and all related software are the intellectual property of Elemental Genius LLC. You may not copy, modify, distribute, sell, or create derivative works based on our intellectual property without written permission.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us an irrevocable, perpetual, royalty-free right to use that feedback without restriction or compensation to you.

9. Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Attempt to gain unauthorized access to any part of the Service or its backend systems
  • Use automated tools, bots, or scrapers to access the Service beyond what is expressly permitted
  • Interfere with or disrupt the integrity or performance of the Service
  • Share your account credentials or allow others to access your account
  • Resell, sublicense, or commercialize the Service without written permission

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. AI-GENERATED CONTENT IS PROVIDED WITHOUT WARRANTY OF ACCURACY OR FITNESS FOR ANY PURPOSE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELEMENTAL GENIUS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Elemental Genius LLC and its officers, employees, and agents from any claims, liabilities, damages, or expenses (including legal fees) arising from your use of the Service, your User Content, your use of third-party platform integrations, or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for violation of these Terms, non-payment, or any other reason at our discretion. Upon termination, your license to use the Service ceases immediately. Sections 8, 10, 11, 12, and 15 survive termination.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in Monroe County, New York, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property claims.

15. Changes to Terms

We may update these Terms at any time. We will provide notice of material changes through the App or via email. Your continued use of the Service after the effective date of updated Terms constitutes acceptance.
