Virylium End User License Agreement (EULA) Elemental Genius LLC | virylium.com Effective Date: June 19, 2026

PLEASE READ THIS END USER LICENSE AGREEMENT CAREFULLY BEFORE DOWNLOADING OR USING VIRYLIUM. BY DOWNLOADING, INSTALLING, OR USING THIS APPLICATION, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE, DO NOT DOWNLOAD OR USE THE APPLICATION.

1. Parties

This End User License Agreement ("EULA") is a legal agreement between you ("User" or "you") and Elemental Genius LLC, a limited liability company organized under the laws of the State of New York ("Licensor," "we," or "us"), governing your use of the Virylium mobile application and any associated software, services, and AI systems (collectively, the "Application").

2. License Grant

Subject to your compliance with this EULA and maintenance of an active paid subscription, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Download and install one copy of the Application on Android mobile devices you own or control
  • Access and use the Application solely for your personal brand management purposes
  • Use Lyra Solus, the AI companion embedded in the Application, for brand coaching and content strategy

This license does not include any right to: sublicense, resell, transfer, or assign the Application; modify, adapt, translate, or create derivative works from the Application; reverse engineer, decompile, disassemble, or attempt to extract source code from the Application; or use the Application to build a competitive product.

3. Subscription Requirement

The Application requires an active paid subscription at $29.99 per month (USD), processed through Google Play. This EULA is contingent upon maintenance of an active subscription. If your subscription lapses, this license is automatically suspended until the subscription is renewed.

4. Installation & Device Requirements

4.1 Supported Platforms

This Application is distributed via Google Play and is designed for Android devices running Android 8.0 (Oreo) or later. Compatibility with specific devices is not guaranteed.

4.2 Required Permissions

The Application requires the following device permissions to function:

  • Internet access — required for all AI and platform integration features
  • Google Account access — required for authentication and Google Drive soul file storage
  • Camera & microphone — required for audio/visual capture features (optional features)
  • Storage — required for local caching of content and media

Permission requests will be shown to you during first use of each feature. You may deny optional permissions, which will disable the features that depend on them.

5. Google Play Distribution Terms

This Application is distributed through Google Play. In the event of any conflict between this EULA and Google Play's Terms of Service, Google Play's Terms of Service shall govern with respect to distribution and payment matters. Google is not a party to this EULA and bears no responsibility for the Application or its content.

6. Third-Party Integrations

6.1 OAuth Connections

The Application enables OAuth connections to third-party platforms including but not limited to LinkedIn, X (Twitter), Instagram, TikTok, and YouTube. These connections are optional and user-initiated. Licensor is not responsible for the availability, terms, or conduct of these third-party platforms.

6.2 Google Drive

The Application uses the Google Drive API to store your Lyra Soul File in your personal Google Drive account. This requires you to grant the Application specific, limited permissions to your Google Drive. These permissions can be revoked at any time through your Google Account settings. Our use of Google Drive data adheres to Google's Limited Use Policy.

6.3 AI Services

Lyra Solus is powered by Google Vertex AI (Gemini models). Your interactions with Lyra are processed through Google's AI infrastructure subject to Google's terms and privacy policies in addition to ours.

7. User Data & Privacy

The collection and use of your data is governed by our Privacy Policy, available at virylium.com/privacy, which is incorporated by reference into this EULA. Key points relevant to the Application:

  • Your Lyra Soul File is stored in your personal Google Drive — you own it completely
  • OAuth tokens for third-party platforms are encrypted and stored securely
  • We do not sell your personal data to third parties
  • AI interaction data may be retained for service functionality but is not used to train third-party models without consent

8. Intellectual Property

8.1 Licensor's IP

The Application, including Virylium's software, user interface, design system, Lyra Solus AI character and personality (including her soul file architecture and visual identity), brand assets, and all related intellectual property, are and remain the exclusive property of Elemental Genius LLC. Nothing in this EULA transfers any ownership of our intellectual property to you.

8.2 User Content

You retain ownership of all brand content, strategy outputs, and creative work you produce using the Application. The Lyra Soul File generated from your brand interview is your property, stored in your Google Drive.

8.3 AI Output

Content generated by Lyra Solus based on your inputs is provided for your use. We make no claim of ownership over AI-generated content produced specifically in response to your prompts. You are responsible for ensuring AI-generated content does not infringe third-party rights before use.

9. AI Disclosure & Limitations

  • Lyra Solus is an artificial intelligence system, not a human
  • Lyra's outputs are generated by machine learning models and may contain errors, biases, or inaccuracies
  • Nothing Lyra generates constitutes legal, financial, medical, or professional advice
  • Lyra's personality and capabilities may change with app updates as underlying models evolve
  • You acknowledge that AI-generated brand strategy is a tool to assist your judgment, not replace it

10. Prohibited Uses

You agree not to use the Application to:

  • Generate, publish, or distribute content that is defamatory, harassing, discriminatory, or illegal
  • Impersonate any person or entity in a misleading or deceptive manner
  • Violate the terms of service of any third-party platform you connect via OAuth
  • Attempt to reverse-engineer Lyra's AI model, soul file schema, or backend architecture
  • Use automated scripts or bots to access or interact with the Application
  • Share your subscription access with others or resell access to the Application
  • Use the Application in any way that could damage, disable, or impair our servers or networks

11. Updates & Modifications

Licensor may update the Application at any time, including changes to features, AI models, integrations, and supported platforms. Major changes affecting core functionality will be communicated via in-app notice. Continued use of the Application following an update constitutes acceptance of the update.

Licensor reserves the right to modify, suspend, or discontinue any feature or the Application as a whole, with reasonable advance notice where practicable.

12. Termination

12.1 By You

You may terminate this EULA at any time by canceling your subscription through Google Play and uninstalling the Application.

12.2 By Licensor

Licensor may terminate your license and suspend your account immediately upon violation of this EULA, non-payment, or as otherwise permitted under our Terms of Service.

12.3 Effect of Termination

Upon termination, you must cease all use of the Application. Sections 8, 9, 13, 14, and 15 survive termination. Your Lyra Soul File on Google Drive is not deleted by us upon termination — it remains in your control.

13. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF AI OUTPUTS, UNINTERRUPTED SERVICE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THIRD-PARTY PLATFORM INTEGRATIONS WILL REMAIN AVAILABLE OR FUNCTIONAL.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THIS EULA OR YOUR USE OF THE APPLICATION SHALL NOT EXCEED THE SUBSCRIPTION FEES YOU PAID IN THE THREE (3) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL LICENSOR BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

15. Governing Law

This EULA is governed by the laws of the State of New York, USA. Any disputes shall be resolved pursuant to the dispute resolution provisions in our Terms of Service.

16. Entire Agreement

This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Elemental Genius LLC with respect to the Application and supersedes all prior agreements, representations, and understandings. If any provision of this EULA is found to be unenforceable, the remaining provisions shall remain in full force.
