Price Changes

We reserve the right to modify subscription prices. We will provide you with reasonable advance notice of any price changes. Your continued use of the App after price changes take effect constitutes acceptance of the new prices.

Free Trials

We may offer free trial periods. At the end of a trial period, you will be charged the applicable subscription fee unless you cancel before the trial ends.

Cancellation and Refunds

  • You may cancel your subscription at any time through the App or by contacting us
  • Cancellation takes effect at the end of your current billing period
  • No refunds will be provided for partial subscription periods
  • Upon cancellation, you will retain access to paid features until the end of your billing period

License to Use Your Data

  • Create backups of User Data for disaster recovery

If you provide us with feedback, suggestions, or ideas about the App (“Feedback”), you grant us an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to use, reproduce, modify, and commercialize the Feedback in any way without compensation or attribution to you.

CRMFlow may integrate with or contain links to third-party services, websites, or applications. We do not control and are not responsible for:

  • Third-party services, content, or privacy practices
  • The availability or accuracy of third-party services
  • Any transactions between you and third-party providers

You are responsible for any fees charged by third-party services you choose to use in connection with CRMFlow.

WE DO NOT WARRANT THAT:

  • The App will meet your requirements
  • The App will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the App will be accurate or reliable
  • Any errors in the App will be corrected

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELEMENTAL GENIUS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF GOODWILL
  • SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE
  • COST OF SUBSTITUTE SERVICES

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Aggregate Liability Cap

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE APP SHALL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR
  • ONE HUNDRED DOLLARS ($100)

Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless Elemental Genius LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from:

  • Your use or misuse of the App
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your User Data or content
  • Your violation of applicable laws or regulations

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

13. Term and Termination

These Terms remain in effect while you use the App.

Termination by You

You may terminate your account at any time by:

  • Canceling your subscription through the App
  • Contacting our customer support
  • Uninstalling the App and ceasing use

Termination by Us

We may suspend or terminate your access to the App immediately, without prior notice or liability, for any reason, including:

  • Breach of these Terms
  • Fraudulent, abusive, or illegal activity
  • Violation of applicable laws
  • Request by law enforcement or government agencies
  • Extended periods of inactivity
  • Technical or security concerns

Effect of Termination

Upon termination:

  • Your license to use the App immediately terminates
  • You must cease all use of the App
  • We may delete your User Data in accordance with our data retention policies
  • Provisions of these Terms that by their nature should survive termination will survive

Data Retrieval

You may request an export of your User Data within 30 days of termination. After 30 days, we may permanently delete your data.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Elemental Genius LLC regarding the App and supersede all prior agreements and understandings.

Amendment

We may amend these Terms at any time by posting the amended terms in the App and updating the “Last Updated” date. Your continued use of the App after changes become effective constitutes acceptance of the amended Terms.

Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign or transfer these Terms without restriction. These Terms bind and inure to the benefit of each party’s permitted successors and assigns.

Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Relationship of Parties

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Elemental Genius LLC.

Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights except as expressly stated herein.
